1. Acceptance of terms
By accessing this website, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions, our Privacy Policy, our Shipping & Returns Policy, and our Research Use Only Agreement, each incorporated here by reference. If you do not agree, do not use this website or place an order.
2. Eligibility & researcher status
You must be at least 21 years of age and acquiring our products in the capacity of a qualified researcher, research institution, or laboratory professional. By ordering, you represent and warrant that:
- You are at least 21 years old and have the legal capacity to enter this agreement;
- You are acquiring products solely for legitimate in vitro laboratory and/or animal research;
- You are qualified by training or profession to handle research chemicals safely; and
- The information you provide to us is accurate and complete.
3. Research use only
All products sold by Eterna Labs are supplied strictly for research use only (RUO). They are not drugs, foods, dietary supplements, cosmetics, medical devices, or household chemicals, and are not intended for human or veterinary use, consumption, ingestion, injection, diagnostic use, or therapeutic application of any kind. Detailed obligations are set out in our Research Use Only Agreement, which you must accept before checkout.
4. Orders & pricing
All orders are offers to purchase and are subject to acceptance by us. We may decline or cancel any order at our discretion, including where we cannot verify researcher status, where a product is unavailable, where a pricing or description error has occurred, or where shipment would violate applicable law. Prices are listed in U.S. dollars (USD) and exclude taxes and shipping unless stated. We reserve the right to correct errors and to change prices at any time before acceptance.
5. Shipping & risk of loss
Shipping methods, timelines, restricted destinations, and handling are described in our Shipping & Returns Policy. Title and risk of loss pass to you upon delivery to the carrier. You are responsible for ensuring that import of research materials is lawful at your destination.
6. Returns & refunds
Because these are sensitive research materials, returns are limited. Our full return and refund terms — including the handling of damaged, defective, or out-of-specification shipments — are set out in the Shipping & Returns Policy.
7. Acceptable use & buyer obligations
You agree that you will not, and will not permit others to: (a) use, resell, repackage, or distribute any product for human or animal consumption; (b) misrepresent the nature of the products; (c) use the products in violation of any applicable local, state, national, or international law or institutional safety protocol; or (d) use this website to transmit unlawful, infringing, or harmful content. You are solely responsible for the safe storage, handling, use, and disposal of all materials.
8. Intellectual property
The Eterna Labs name, logo, the “eterna mark,” website design, text, graphics, and Certificates of Analysis are owned by or licensed to us and are protected by intellectual-property laws. You may not copy, reproduce, or create derivative works without our prior written consent.
9. Content & accuracy disclaimer
We work to keep product specifications, sequences, and informational content accurate. Some descriptive and editorial content on this website may be drafted or assisted by automated tools and is provided for general informational purposes about the chemistry of research materials only. No content on this website constitutes medical, health, dosing, or usage advice, and nothing here should be interpreted as a claim that any product is safe or effective for use in humans or animals. Authoritative lot-specific data is provided in each product’s Certificate of Analysis.
10. Disclaimer of warranties
Except for the limited specification conformity reflected in each product’s Certificate of Analysis, products and this website are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, Eterna Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from misuse of the products. Our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Eterna Labs harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these terms, your misuse of any product, or your violation of any law or third-party right.
13. Governing law
These terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Clark County, Washington.

We may update these terms from time to time. The “Last updated” date reflects the most recent revision. Continued use of the website or placing an order after changes take effect constitutes acceptance of the revised terms.
